I.1    About the Terms and Conditions

Please read the below mentioned terms and conditions very carefully. By using the Wolley service and all it's subdomains including but not limited to Wolley Talk and Wolley Forum, you are bound to these terms and conditions. Access to the Wolley website and the search for service requests can be used without registration, however for further options and to use the Wolley service, registration is required. If you don’t accept the terms and conditions you cannot use the Wolley service. The Wolley terms and conditions constitute a legally binding agreement between you and Wolley Ltd. These terms and conditions are valid from 1st November 2007 and are effective upon acceptance for new users. With the usage of the Wolley Service the user has to keep to the local law as well as the terms and conditions set out in this document. Wolley reserves the right to change the existing terms and introduce new terms as well as terminate this agreement anytime.  This Agreement shall be subject to the laws of England, Wales and Scotland and the parties submit to the exclusive jurisdiction of the English court.

Every day we work to fulfil our Mission Statement: To target inefficiencies in the service market, and to help our customers get the highest quality service for the best value.

The contents of the terms and conditions are the exclusive property of Wolley Ltd. The reproduction or unauthorized use of any materials contained herein is forbidden. Any use of this information other than in conjunction with the Wolley service must be approved by Wolley Ltd.

IV    Definitions

Service Seeker: The individual (customer) who is looking for a service to be completed.

Service Provider: An individual or company that uses the Wolley service in order to place offers for a service request.

Service Request: A request for offers on a service job to be done.

Service Request Auction: A request for offers to be placed on the website. Service Providers now have the chance to place an offer to win the job.

Offers: Service Providers make offers over the Wolley system once a Service Request has been registered.

Platform: The Wolley database system.

V    Using the Service of Wolley

You may not use the Site if you are under the age of 18 or you are not able to form legally binding contracts, or if your Wolley membership has been suspended.

V.1    General Disclaimer

a.     Wolley operates only the technical platform for placement of Service Requests. Wolley neither works in the name of the Service Provider nor the Service Seeker. If messages are sent through the Wolley platform in relation to a Service request, which include legal information, Wolley does not make any guarantees in relation to its content. Contracting parties will solely become the Service Seeker and the Service Provider. The contact person for questions relating to payment terms, fulfilment of obligations, or any other liability is in all instances the other party, namely the Service Provider or Service Seeker. It is not Wolley’s responsibility to discuss, deal or otherwise be involved in any complaints, nor to mediate in case of disagreements between the Service Seeker and Service Provider.

b.     You acknowledge that it is your responsibility to select a Service Provider and to negotiate the terms of any work to be performed by the Service Provider you have selected using the Wolley service. Wolley makes no warranty regarding any goods or services purchased or obtained as well as prices agreed through the Wolley service screening process.

c.      Wolley does not guarantee that the Service Provider will contact the Service Seeker or that they will fulfil their offer.

d.     Wolley relies on data provided by other Service Seekers using the Wolley service to determine the rating of the Service Providers. Wolley does not recommend or endorse any specific Service Provider.

e.      Wolley does not guarantee to be able to find a Service Provider suitable for undertaking a Job whether by reason of geographical restrictions or otherwise.

f.        All Service Providers who use the Wolley service and place an offer on the Wolley website, have to have the legal qualifications to tender for a Service Request as well as provide the service.

g.    Wolley refers to the law of the shadow economy. All services and correspondence entered onto the wolley website, along with the use of such must be in accordance with law. Wolley furthermore refers to services, which are regulated through law or other provisions and can therefore not be freely traded. Wolley reserves the right to ban requests, which have been placed and are not in accordance  with local laws.

h.    Wolley does not guarantee that the Service Provider has the necessary legal qualifications to provide the service he/she is placing on the web site.

i.    Our site includes links to external sites. We have included links to these sites to provide you with access to information and services that you may find useful or interesting. We are not responsible for the content of these sites or anything provided by them.

VI    During participation of an Service Request Auction

VI.1    Registration of Products

a.    The registration is only allowed to be from a legal entity or an unrestricted contractually capable person. The registering party agrees to truthfully and to the best of its knowledge provide all service request requirements as well as requested contact data and keep them continuously up to date. Despite this obligation, Wolley does not take any liability in terms of the correctness of the information provided by the Service Seeker and Service Provider as well as qualifications, references and creditworthiness.

b.     All costs incurred by using the Wolley Service need to be borne by the user. Such cost include, but are not limited to computer equipment, telephone line, internet connection;

c.      Wolley doesn’t make any guarantee to a Service Provider that his offer will be accepted.

d.     The registration name may not be against local law nor breach any rights of third parties.

e.      The registration of several accounts for the same legal entity or natural person is forbidden.

f.      During participation of an Auction it is the responsibility of both Service Provider and Service Seeker to check their email account at least once a day.

g.   After winning an Auction, the Service Provider has 14 days to get in contact with the Service Seeker, before Wolley will at the Service Seeker’s request release the contact details of another Service Provider who had participated in the Auction.

h.    The Service Provider undertakes to honour the terms of any offer they make for 30 days after the end of the Auction.

i.     Wolley registered Service Requests may not be offered on any other means than the Wolley platform, during the time of the Auction. If the Service Seeker decides to offer the Service Request outside the Wolley platform, then the Auction needs to be deleted beforehand from Wolley. Offers by the Service Provider to the Service Seeker on Service Requests placed on the Wolley platform may only be made through the provided functions and not by any other means of communication outside of the Wolley platform.

j.     All offers on the Wolley service need to be made by using the total amount payable including VAT. VAT ex prices are only permitted, if it is specifically mentioned within the offer.

k.    If the service is agreed to include material cost, then all cost involved into providing the service need to be included in the offer.

l.       It is forbidden to exchange contact details such as, but not limited to, external websites, telephone numbers or addresses between Service Seeker and Service Provider except in case of service description and better understanding of service requests. Delivery of offers can only be made via the Wolley website.

m.  Wolley reserves the right to delete any Service Request placed on its website not conforming to local laws or terms and conditions without prior notice. Wolley may not be held liable for any costs, damage or any other pretensions from third parties relating for breach of contracts.

n.   Wolley reserves the right to permanently terminate a registered member if the member acts against the terms and conditions set out in this document or against local laws. The company will give notice in such instances via E-mail, regular mail or facsimile. Such instances include, but are not limited to:

·         post, list or upload content or items in inappropriate categories or areas on the platform;

·         breach of any laws, sell any counterfeit items or otherwise infringing the copyright, trade mark or other rights of third parties;

·         failure to score a reasonable rating from feedbacks from other members of Wolley, due to failing to provide the service as described in the offer (Service Providers) or failing to pay for a service provided (Service Seeker);

·         failure to respond to a winning bid within 14 days;

·         posting of any kind of web links to another website on the Service Request or Service Offer;

·         posting a link to another website on the Service Request or offer;

·         manipulating the price of any service request or interfering with other users listings;

·         posting, listing or uploading false, inaccurate, misleading or defamatory content (including personal information);

·         taking any action that may undermine the feedback or ratings systems (such as displaying feedback information on, or exporting feedback information to, non-Wolley web-sites, or using it for purposes unrelated to Wolley);

·         transferring your Wolley account (including feedback) and User ID to another party without Wolley’s express consent;

·         use of the Wolley service for any kind of illegal activities;

·         trying to get unauthorised access to any part of the website, including but not limited to gathering private and confidential information of any other member of Wolley.

·         distributing or posting spam, chain letters, or pyramid schemes;

·         distributing viruses or any other technologies that may harm Wolley, or the interests or property of Wolley users;

·         copying, modifying, or distributing Wolley's copyrighted works or trade marks, or other content from the Site, without our express consent; or

·         harvesting or otherwise collecting information about users, including email addresses, without their express consent.

VII    Placing a Service Request

By placing a Service Request on the Wolley website you agree that Wolley shall be entitled to modify, edit or remove any parts or the full information you provide, specifically these which are in breach of the terms and conditions.

The Service Provider has to place an offer using the total price including VAT. If material has been agreed to be included, the offer made has to include the total cost of providing the service. The offer has to describe in as detailed form as possible the service provided, for example breaking down the price to a per hour cost and any other necessary details. 

Every Service Request has an open communication forum, which will help to raise and answer questions. In order to avoid unfair practises and questions being asked twice between the parties, these communications are open and can be read by everyone interested in the Service Request. If a content is posted on the forum to supplement the Service Request of the Service Seeker or the Offer of the Service Provider, then it will automatically become part of the same one.

As long as no offer has been accepted, Service Requests can be cancelled at anytime.

With the end of the auction, the Service Seeker has the right to choose between all the Offers placed on the Wolley platform. He then has 14 days to verify the offer and either accept or request another offer.

VIII    Wolley Maintenance Disclaimer

Wolley reserves the right to change or discontinue a function offered on Wolley at anytime.

Wolley does not guarantee a 24 hour service of its website and does not take responsibility of any damage caused due to downtime of its server. Different functions of the system might from time to time have limited availability or be fully shut down due to maintenance work or any other reason. Wolley will not be liable for any loss or damage caused by such a down time. 
 
IX    Acceptance, Cancellation, New Acceptance, Verification deadline

The Service Seeker agrees to accept and verify an offer within 14 days after the end of the auction. If he is not happy with his first choice he can reject the offer. He therefore also revokes the contract with his/her first choice Service Provider. Both Service Provider and Service Seeker renounce any claims relating to the termination of the contract. If the accepted offer could not be concluded and other offers for the Service Request have been placed on the website, the Service Seeker can request contact details of another Service Provider who placed the other offer.

After the end of the auction, both Service Seeker and Service Provider can rate each other in terms of reliability, service provided and reliance. To have an objective measure of the rating system for other Wolley users, each user is bound to give a truthful and honest feedback of the other party. He/She has to avoid any irrelevant, abusive or any other feedback, which acts against the aim of the rating system.

X    Fees

The service offered by Wolley is currently free of charge. Wolley reserves the right to change and introduce a fee structure for all new service requests anytime.

XI    Responsibility of Content

Wolley guarantees confidential handling of all user data and holds your data on a database strictly in accordance with its Privacy Policy. Wolley will forward contact details of the Service Seeker to the chosen Service Provider and visa versa. By accepting the terms and conditions, the user agrees to save and handle its contact details in the Wolley database. The deletion of user details may not be possible.

XIII    Communication

All communication relating to usage terms needs to be done in writing or via any other kind of text format. The user agrees to unlimited effectiveness of this format. Wolley points out that all email communication will be sent in unencrypted way and that confidentiality in this way can not be guaranteed. 

By using the Wolley service, the user agrees to accept Email communication from Wolley. If the optional function of newsletter is chosen in the user’s profile, Wolley from time to time may send newsletters with special offers or other interesting facts. Wolley will furthermore use the Service Providers email address to notify of new Service Requests in the area. The size of the area may be chosen by the Service Provider in the profile.
